Terms of Service

1. Acceptance of Terms

By engaging Lunar Echo Productions ("Company," "we," or "us") for audio production, podcast editing, sound design, or related services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree, please refrain from using our services.

2. Services Provided

Lunar Echo Productions offers the following professional audio services:

• Podcast Episode Structuring — Episode planning, segment layout, narrative arc refinement
• Voice & Dialogue Audio Enhancement — Noise removal, EQ shaping, compression, multi-speaker alignment
• Audio Formatting for Online Publishing — Platform-specific loudness normalization, format conversion, metadata embedding
• Audio Content Packaging Support — Show notes, audiograms, transcripts, cover art preparation

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate Project Agreement or Statement of Work executed between both parties.

3. Client Responsibilities

To ensure timely and quality delivery, the Client agrees to:

• Provide raw audio files in the agreed format and by the agreed deadline
• Supply complete project briefs, creative direction, and reference materials
• Respond to communication and feedback requests within a reasonable timeframe (typically 48 hours)
• Ensure that all provided content is original or properly licensed for use
• Notify us of any urgent deadlines or time-sensitive requirements in advance

Delays caused by the Client's failure to meet these responsibilities may result in adjusted timelines and additional fees.

4. Intellectual Property

Client Content. The Client retains full ownership of all raw audio files, original recordings, and creative content provided to us.

Deliverables. Upon full payment for services, the Client receives full ownership and rights to the final edited, mixed, and mastered audio files produced by Lunar Echo Productions.

Portfolio Rights. Lunar Echo Productions retains a non-exclusive, royalty-free license to use completed project samples in our portfolio, website, or promotional materials unless otherwise agreed in writing. Clients may opt out of portfolio usage at any time.

Third-Party Assets. Any third-party music, sound effects, or assets used in production will be properly licensed, with license terms communicated to the Client prior to use.

5. Payment Terms

Payment terms are as follows unless otherwise specified in the Project Agreement:

• A 50% deposit is required to commence work on projects exceeding $500
• Full payment is due upon delivery of final files, unless net payment terms are agreed in writing
• Accepted payment methods include bank transfer, credit card, and ACH
• Late payments may incur a 1.5% monthly interest charge on the outstanding balance
• All prices are in USD unless otherwise stated

6. Revisions and Scope Changes

Each project includes a specified number of revision rounds as outlined in the Project Agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Significant scope changes require a new or amended Project Agreement.

7. Cancellation and Termination

Either party may terminate a project with written notice. Upon termination:

• The Client is responsible for payment for all work completed up to the date of termination
• The deposit is non-refundable if work has already commenced
• All completed work and work-in-progress will be delivered to the Client upon settlement of outstanding invoices
• Lunar Echo Productions reserves the right to terminate a project if the Client breaches these terms or fails to communicate for 30 consecutive days

8. Confidentiality

Both parties agree to treat all project-related information, including raw audio files, creative briefs, business strategies, and unpublished content, as confidential. This confidentiality obligation survives the termination of the project agreement for a period of two years.

9. Limitation of Liability

Lunar Echo Productions provides services with professional care and skill. However, to the fullest extent permitted by law, our liability for any claims arising from our services is limited to the total fees paid by the Client for the specific project in question. We are not liable for indirect, consequential, or incidental damages, including loss of revenue or audience.

10. Indemnification

The Client agrees to indemnify and hold harmless Lunar Echo Productions from any claims, damages, or expenses arising from the Client's breach of these Terms, infringement of third-party intellectual property rights through provided content, or violation of applicable laws.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, internet outages, health emergencies, or government actions.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, United States. Any disputes shall be resolved in the courts of Denver County, Colorado.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance. For ongoing projects, the terms in effect at the time of the Project Agreement will apply.
